Terms of Service

1. Service Description

wreckin.parts ("the Service") is a powersports salvage yard network platform operated by Reiners Cloud Consulting LLC ("we," "us," or "our"). The Service provides salvage yards with tools to manage inventory, list parts for sale, and connect with buyers across a nationwide network. The platform supports motorcycles, ATVs, UTVs, watercraft, and other powersports vehicles.

By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

2. Account Responsibilities

When you create an account on wreckin.parts, you are responsible for:

• Providing accurate and complete registration information.
• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorized access to your account.
• Ensuring that all users within your organization who access the Service comply with these terms.

You must be at least 18 years old to create an account. You must provide a valid email address and accurate business information when registering as a yard.

3. Subscription and Billing

Access to the Service requires a paid subscription. The following terms apply to billing:

• Monthly Plan: $179.99 per month, billed monthly. This covers a single yard location.
• Annual Plan: An annual billing option is available at a discounted rate. See our pricing page for current annual pricing.
• Multi-Yard Pricing: Organizations operating multiple yard locations may qualify for multi-yard pricing. Contact us for details.
• Payment Processing: All payments are processed securely through Stripe. We do not store your payment card information on our servers.
• Billing Cycle: Subscriptions renew automatically at the end of each billing period unless cancelled prior to renewal.
• Refunds: We do not offer refunds for partial billing periods. If you cancel your subscription, you will retain access to the Service until the end of your current billing period.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with our Acceptable Use Policy. You may not use the Service to:

• Engage in any illegal activity or facilitate the sale of stolen goods.
• Misrepresent the condition, origin, or compatibility of parts or vehicles.
• Harass, abuse, or threaten other users.
• Scrape, crawl, or otherwise extract data from the Service without authorization.
• Interfere with or disrupt the Service or its infrastructure.
• Upload malicious software or content.

5. Content Ownership

Your Content: You retain full ownership of all content you submit to the Service, including but not limited to inventory data, photographs, vehicle descriptions, and pricing information. By uploading content to the Service, you grant us a limited, non-exclusive license to display and distribute that content as necessary to operate the platform (e.g., displaying your listings to buyers on the marketplace).

Our Content: The Service itself, including its design, code, features, and branding, is owned by Reiners Cloud Consulting LLC and is protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written consent.

Data Export: You may export your data at any time. Upon termination of your account, we will make your data available for export for a reasonable period (minimum 30 days).

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REINERS CLOUD CONSULTING LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising out of or relating to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Termination

Either party may terminate this agreement at any time:

• By You: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.
• By Us: We may suspend or terminate your account if you violate these terms, fail to pay subscription fees, or engage in conduct that we determine is harmful to the Service or other users. We will provide notice when reasonably possible.

Upon termination, your data will remain available for export for a minimum of 30 days. After this period, we may delete your data in accordance with our data retention policies.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of South Dakota, without regard to its conflict of law provisions. Any disputes arising out of or relating to these terms or the Service shall be resolved in the state or federal courts located in Minnehaha County, South Dakota.

9. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will provide at least 30 days' notice of any material changes by email or through a notice on the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated terms.
